Avarole Terms and Conditions

These Terms and Conditions govern access to and use of the Avarole website at avarole.com and the Avarole Services provided by Qorden AI Ltd. Please read them carefully before creating an account, subscribing or using Avarole. Our Avarole Privacy Notice, published on avarole.com, explains how personal data is handled. Avarole avatars are AI systems, not people.

1. Who we are and what these terms cover

Avarole is operated by Qorden AI Ltd, incorporated in the Dubai International Financial Centre, United Arab Emirates (DIFC commercial licence CL6291), with its registered office at Unit GA-00-SZ-L1-RT-208, Level 1, Gate Avenue South Zone, DIFC, Dubai, UAE (Qorden, we, us or our). These Terms govern our Avarole website at avarole.com and its subdomains (Website) and, where made available under your plan, our web, mobile and desktop applications, embeddable website widgets, interactive kiosks and camera-enabled deployments, APIs, integrations and related services (together with the Website, Services).

Avarole Agent provides AI video avatar conversations, by voice and video rather than text chat, that an organisation can deploy on its website, in its mobile app or through our APIs, using the organisation's knowledge base and website content, with automatic language detection and switching. Avarole Executive is a desktop application installed on your device that provides AI video avatar assistance connected to your email, CRM and other authorised systems, including document and email analysis, summarisation, reply drafting and supported connected actions. Avarole Interactive provides avatar interactions that, where enabled, can use a camera to see users or scan documents and data, and is supplied as a custom enterprise deployment, such as a kiosk, with tailored integrations and workflows. Availability depends on the purchased plan, configuration and deployment. These descriptions do not promise that every feature is included or available.

2. Acceptance, eligibility and website use

You accept these Terms by actively agreeing during registration, first use or checkout, or by signing an applicable Order Form. Browsing our website alone does not authorise a paid subscription, access to a connected account or optional recording. You must be at least 18 and legally able to contract. If acting for an organisation, you confirm that you have authority to bind it. Users without that authority must obtain approval before purchasing or enabling organisation access. Avarole is designed and offered for business and professional use. By subscribing, you confirm that you are acting for purposes relating to your trade, business or profession, unless you tell us otherwise before purchase. Mandatory consumer protections continue to apply where you are in fact a consumer.

You may browse the Website for information about Avarole without an account. Sections 6, 10, 22, 23 and 25 apply to that browsing. Website content, including product descriptions, demonstrations, sample avatars and pricing, is provided for general information, may change and is not an offer capable of acceptance unless presented at checkout or in an Order Form. Do not scrape, frame, mirror or copy the Website or its avatars, videos or other content except as permitted by law. Links to third-party websites are provided for convenience, and we are not responsible for their content or practices. Our use of cookies and similar technologies is explained in the Privacy Notice or cookie notice published on the Website.

3. Contract documents

An Order Form or signed master services agreement prevails for expressly agreed commercial or contractual departures. A Data Processing Addendum (DPA) prevails for personal data processing, and an agreed SLA prevails for service levels. These Avarole Terms prevail over general Qorden terms for Avarole specific matters; general Qorden terms apply only if expressly incorporated and made available before acceptance. An Avarole Privacy Notice explains personal data processing and is not blanket consent or a reduction of legal privacy rights. Feature notices identify the processing and permissions relevant to that feature.

Accounts and permitted use

4. Accounts and security

Provide accurate registration and billing information and keep it current. Protect passwords, access tokens and API keys; use available security controls; give users only the access they need; and promptly remove departed users. You are responsible for your authorised users and activities within your reasonable control. Notify security@avarole.com promptly of suspected compromise. These obligations do not excuse a security failure for which Qorden is responsible. We may require additional verification or authentication where reasonably necessary.

5. Service licence and deployment

Subject to these Terms and payment, we grant you a limited, non-exclusive and non-transferable right to use the Services during your subscription for the purposes allowed by your plan. An organisation may deploy a customer-facing avatar or kiosk where its plan or Order Form permits it. Resale, sublicensing, white labelling and distribution require written permission. Per-user plans, including Avarole Executive, are licensed to one named individual per user licence. A licence may not be shared or used by more than one person, but may be reassigned to a new user when the previous user no longer needs access. You remain responsible for your devices, connectivity, local premises, authorised users and customer supplied systems. Hosting location, on-premise arrangements, concurrency, usage allowances and custom features apply only as stated in the relevant order or published plan. We may apply rate limits, throttling and other technical limits to the APIs and embed code to protect the Services. You must use supported API versions and adopt updates within the deprecation period we announce.

6. Acceptable use

You must not use the Services for fraud, phishing, impersonation, deceptive synthetic media, exploitation of children, unlawful harassment, discrimination, infringement, unlawful surveillance or unauthorised access. Do not introduce malware, bypass access controls, extract secrets, access another customer’s information, evade usage limits or intentionally disrupt the Services. Do not reverse engineer the Services except where a restriction is prohibited by law, or use them or their outputs to train a competing AI system without written permission. Do not conceal that an avatar is AI or present an AI assistant as a licensed professional or public official.

You must have the necessary rights and lawful basis for information you upload, capture, connect or ask us to process, and obtain any notices, permissions and consents required by law. You must comply with applicable sanctions, export controls, anti-bribery rules and sector requirements. Do not submit classified information unless specifically authorised in a written deployment agreement. Do not submit protected health information within the meaning of the US Health Insurance Portability and Accountability Act (HIPAA), or similar regulated health data, unless Qorden has signed a business associate agreement or equivalent agreement with you for that deployment. Avarole is not an emergency service or a substitute for emergency, life support or safety critical systems.

You must not use the Services for any AI practice prohibited by Article 5 of Regulation (EU) 2024/1689 (the EU AI Act) or equivalent law, including: manipulating people through subliminal, purposefully manipulative or deceptive techniques that cause or are likely to cause significant harm; exploiting vulnerabilities related to age, disability or social or economic situation; social scoring; predicting the risk of a person committing a criminal offence based solely on profiling or personality traits; creating or expanding facial recognition databases through untargeted scraping of images from the internet or CCTV footage; inferring emotions in the workplace or in educational institutions, except for medical or safety reasons; biometric categorisation to infer race, political opinions, trade union membership, religious or philosophical beliefs, sex life or sexual orientation; or real-time remote biometric identification in publicly accessible spaces for law enforcement purposes. Emotion recognition, biometric categorisation and biometric identification are not enabled in Avarole by default and may be used only where Qorden has expressly enabled them in writing for a lawful and assessed purpose. You must not configure, combine or extend the Services to perform them.

7. AI limitations and human review

Avarole uses automated systems to process inputs and produce responses, translations, summaries, extracted fields, drafts and suggested actions. Outputs may be inaccurate, incomplete, biased, fabricated or out of date; identical inputs can produce different results. An avatar’s appearance, voice or confidence does not establish factual accuracy, identity or professional qualification. Translations are not certified translations. Verify outputs against reliable sources and obtain qualified advice where appropriate.

Do not use Avarole as the sole basis for a decision that has legal or similarly significant effects, including medical, employment, credit, immigration, law enforcement or financial decisions. A responsible person must review consequential outputs and actions. Customer administrators must maintain appropriate knowledge sources, scope limits and escalation arrangements. Unless expressly agreed, no specific accuracy, response latency, model or outcome is guaranteed. Model changes remain subject to the agreed data processing and security obligations. Where an output or automated action produces legal or similarly significant effects for an individual, the deploying organisation must enable that individual to obtain human review, express their point of view and contest the outcome.

AI governance and transparency

8. AI governance and regulatory compliance

Qorden operates an AI governance programme for Avarole covering risk classification, data protection and AI impact assessment, data governance, testing before release, human oversight, logging, incident management, change control and post-deployment monitoring. We design Avarole to support compliance with Regulation 10 of the DIFC Data Protection Regulations, the EU AI Act as it applies to our activities, US federal and state laws on privacy, biometrics, AI disclosure and automated decision-making, and other applicable AI and data protection laws. Where a feature involves high-risk processing, we make it commercially available only after the assessment or certification required by applicable law. Nothing in these Terms confirms that a customer's own use case is lawful or has been assessed, and nothing in these Terms limits obligations that apply under mandatory AI or data protection law.

For the purposes of the EU AI Act and similar laws, Qorden acts as provider of the Avarole AI system, and as deployer only where it uses Avarole for its own purposes, such as an avatar on the Website. An organisation that configures and deploys Avarole for its own users acts as deployer and is responsible for deployer obligations, including AI literacy of its staff, human oversight, informing affected people, monitoring operation and keeping logs under its control. A customer that substantially modifies Avarole, changes its intended purpose, or places it on the market under its own name or trademark may become a provider under applicable law and is responsible for the resulting obligations.

Avarole is not designed or assessed for high-risk uses listed in Annex III of the EU AI Act or equivalent laws, including recruitment, selection or management of workers; access to or assessment in education; creditworthiness or credit scoring, or life and health insurance pricing; eligibility for public benefits or essential services; law enforcement; migration, asylum or border control; administration of justice or democratic processes; or safety components of critical infrastructure. You must not use the Services for these purposes unless Qorden has agreed in writing, after a documented assessment, to a deployment with the required controls.

Each party will give the other reasonable information and cooperation needed to meet its AI governance and regulatory obligations, including responding to regulator enquiries, impact or conformity assessments and incident investigations. On request, we will provide available documentation describing Avarole's intended purpose, capabilities, known limitations, human oversight measures and relevant performance information.

9. AI models and third-party AI providers

Avarole combines our own technology with third-party AI services. Avatar generation and rendering use Qorden's own managed avatar model. Translation and text-to-speech are processed through the OpenAI API. Conversation analytics, such as insights and summaries, are processed through the Groq and Anthropic (Claude) APIs. We may add, change or replace models or providers to maintain quality, security or availability. The current list of AI providers and subprocessors, their roles and processing locations is available on the Website or from legal@avarole.com, and organisational customers will be notified of material changes as set out in the applicable DPA.

We use these providers under commercial API terms under which, by default, data submitted through our API access is not used to train their models. Providers may temporarily retain inputs and outputs for a limited period for abuse monitoring or reliability, unless zero data retention or equivalent controls apply. We assess AI providers for security, data protection and responsible AI practices before use and review them periodically. Data sent to these providers may be processed in the United States or other countries outside the UAE and the European Economic Area, using the transfer safeguards required by applicable law.

Third-party models are general-purpose AI models that we do not control. Their behaviour, availability and built-in safeguards may change. We apply our own controls, including content filtering, prompt and output controls, scope limits, rate limits and monitoring, but no control can prevent every inaccurate, harmful or unexpected output. Section 7 applies to all outputs, whichever model produces them.

You must comply with the usage policies of our AI providers that apply to your use of the Services, including the OpenAI usage policies, the Anthropic Usage Policy and Groq’s acceptable use policy, as published by those providers. We and our providers may automatically screen inputs and outputs and may block, filter or refuse content that breaches these Terms or those policies. An outage, suspension, change or discontinuation of a third-party AI service is an event beyond our reasonable control under section 25. We will use reasonable efforts to restore or replace the affected function and will tell you about any material disruption.

10. Transparency, synthetic content and AI concerns

Avarole avatars and their voices are AI-generated. Avarole is designed so that people are told they are interacting with an AI system, and avatar video and synthetic speech may carry visible labels and machine-readable markings, such as metadata or watermarks, identifying them as AI-generated. You must not remove, disable, obscure or alter AI notices, labels, watermarks or provenance markings, configure an avatar to deny being AI when asked, or present Avarole output as an authentic recording of a real person.

If you publish or distribute Avarole output that resembles real people, places, objects, events or entities and could falsely appear authentic, or AI-generated text published to inform the public on matters of public interest, you must clearly disclose that the content is AI-generated or manipulated, as required by Article 50 of the EU AI Act and other applicable law. Organisations deploying Avarole must keep the AI notice visible at the start of each interaction and inform people before any camera, emotion recognition or biometric feature that has been enabled operates.

Anyone may report an AI-related concern, including harmful, biased or misleading output, misuse of a person's likeness or voice, or a missing AI disclosure, to legal@avarole.com with the subject line AI concern. We will acknowledge reports, investigate, take proportionate action such as restricting a deployment, feature or account, and, where required by law, notify the relevant authorities and affected customers of serious incidents.

Avarole feature obligations

11. Agent conversations and knowledge sources

The organisation deploying an agent is responsible for the relevance, accuracy, permissions and timely updating of its knowledge base and instructions. An answer is not an official booking, approval, entitlement, diagnosis or commitment unless a separate authorised process confirms it. Users should verify time sensitive details with the responsible organisation. Configure public agents to avoid exposing internal documents, other users’ conversations or information beyond the permitted audience. Maintain a way to report errors and request human assistance.

Where an organisation deploys Avarole Agent on its own website, app or channel, that organisation must display an AI notice, make its own terms and Privacy Notice available to its visitors, and request any required permission before microphone or camera access begins. Visitors who speak with an organisation's agent do so under that organisation's terms and Privacy Notice, and Qorden processes those conversations on the organisation's behalf as described in section 16.

12. Interactive kiosks, camera and document capture

Before a public or shared-device session begins, and before any camera feature is activated, the deploying organisation must identify itself, display an AI notice, tell users when the avatar can see them or scan documents, and make its session Privacy Notice accessible. Capture only the information necessary for the stated purpose. Document capture, OCR, a photograph, camera input or a human-like avatar does not by itself establish identity or constitute a certified identity verification service. Biometric identification or matching requires a separately assessed and explicitly enabled feature, a valid lawful basis, appropriate notices and any required explicit consent. General terms acceptance is insufficient.

The deploying organisation must provide suitable physical privacy, prevent capture of bystanders, restrict access to captured documents, configure session timeouts and clear the previous user’s information before the next session. Sensitive document uploads require an authorised workflow. Do not collect payment card security codes, passwords, one-time codes or unnecessary identity records through a conversational prompt. Users should end their session before leaving a shared device.

13. Executive email, CRM access and connected actions

Connecting a mailbox, CRM, file store, calendar or other account authorises only the permissions displayed at connection. Connect accounts you own or are authorised to manage. Your administrator must approve organisational access where required. Access to read or draft does not by itself authorise sending, deleting, purchasing, sharing externally or changing records. Review recipients, attachments, extracted details and proposed changes before confirming a consequential action.

Automated actions require a separately enabled workflow that specifies the permitted action types, scope, limits and confirmation requirements. You may revoke future access using the integration settings or provider controls; this does not reverse completed actions or automatically erase records retained lawfully. Content in emails, documents or websites may contain malicious instructions. Customers must configure least privilege and approval controls; Qorden remains responsible for its own agreed security and permission enforcement.

14. Voice likeness and recording

Use a real person’s likeness, cloned voice or identifying characteristics only with the necessary rights and express permission covering the intended use. Do not misrepresent an avatar as that person speaking live. Inform affected people before recording, transcription, camera capture or other personal data processing. Obtain consent where legally required and retain evidence. Browser or operating system permission permits device access; it is not consent from other participants. Do not capture people who have not received the required notice or permission. A custom avatar or cloned voice of a real person requires that person's documented, informed and revocable consent, which you must provide to us on request. If consent is withdrawn, you must stop using the avatar or voice and ask us to delete it, and we will delete the related avatar and voice assets in line with section 18.

Before an Avarole conversation begins, the deploying organisation must show a clear notice that the conversation is processed, transcribed and analysed by AI, including by Qorden and its third-party AI providers, and must obtain consent where wiretapping, eavesdropping or call recording laws require it, including all-party consent laws such as the California Invasion of Privacy Act. Where Avarole provides a pre-conversation notice or consent screen, you must not disable or obscure it. Qorden processes conversation content only to provide the Services to the deploying organisation and for the security, abuse prevention and legal compliance purposes described in the Privacy Notice, and does not use it to train AI models or for its own marketing.

Where a custom avatar, cloned voice or enabled feature involves face geometry, voiceprints or other biometric identifiers or information, you must obtain the informed written consent or release required by applicable biometric privacy laws, including the Illinois Biometric Information Privacy Act, the Texas Capture or Use of Biometric Identifier Act and Washington biometric privacy law, before any data is collected, and provide that consent to us on request. Qorden does not sell, lease, trade or otherwise profit from biometric identifiers or information, and destroys them when the purpose for collection is satisfied or within three years of the individual’s last interaction with the Services, whichever comes first, as described in the Privacy Notice.

Customer data and privacy

15. Data ownership and output rights

You retain your rights in Customer Data, including prompts, knowledge bases, documents, recordings and connected content. You grant Qorden a limited licence to host, process and transmit it to provide and support the Services, protect security and comply with applicable law. As between you and Qorden, and to the extent legally possible, you retain or receive Qorden’s rights in outputs generated for you. This does not transfer our software, models, avatar assets, third-party material or branding. Stock avatars and voices in our library are licensed to you non-exclusively for use within the Services, may also be used by other customers, and give you no rights in the likeness or voice of any real person behind them. You must not use a stock avatar or voice to impersonate a real person, to endorse or oppose a political party, candidate or cause, or in sexual, defamatory, hateful or misleading content. Custom avatars and voices created from your content are for your exclusive use. Outputs may be similar to those produced for others and may not qualify for intellectual property protection.

16. Data protection roles and providers

Qorden acts as controller for its own account administration, billing, security and business contact processing. For personal data processed on an organisational customer’s documented instructions, the customer generally acts as controller and Qorden as processor under an applicable DPA. Roles may differ for a specific deployment and must be identified in its Privacy Notice and DPA. Neither party transfers its own statutory duties to the other through these Terms.

The applicable Privacy Notice explains data categories, purposes and lawful bases, recipients, retention, transfers, rights and contact routes. Infrastructure providers and the AI providers described in section 9, currently OpenAI, Groq and Anthropic, may process data to supply the Services under the applicable contractual arrangements. Information about applicable subprocessors and processing locations is available through our privacy documentation or on request from legal@avarole.com. Data residency is guaranteed only where expressly agreed. International transfers must use the safeguards required by applicable law.

17. Model training and service security

Qorden will not use Customer Data, including connected emails, documents, prompts, recordings, voice samples or outputs, to train generalised AI models without separate express written authorisation. This applies to Qorden's managed avatar model and to the third-party AI providers described in section 9. An avatar likeness or voice created for one customer will not be made available to any other customer. Inference to answer a request is distinct from model training. Any optional training permission must identify its purpose and scope. Anonymous aggregated operational statistics may be used for service improvement only where individuals cannot reasonably be identified.

Qorden will maintain appropriate technical and organisational safeguards proportionate to the processing and any contractual commitments. Qorden AI Ltd holds ISO/IEC 27001:2022 and ISO/IEC 27018:2025 certifications. The applicable security documentation describes the safeguards, certification scope and any certifications relevant to your deployment. Where acting as processor, Qorden will notify the customer of a personal data breach without undue delay after becoming aware, and cooperate as required by the DPA and applicable law. Statutory notification duties remain applicable.

18. Retention export and deletion

Retention of conversation content, recordings, documents, connected data, account records, security logs and backups is governed by the applicable Avarole Privacy Notice, DPA and Order Form, taking account of the purpose of processing and legal requirements. You must keep independent copies of material business records. During the subscription, request available export options through support. Unless otherwise agreed, a 30 day retrieval window after termination is available on written request, subject to legal and security restrictions. After that window, Customer Data will be deleted or returned under the agreed schedule; legally required records and isolated backups follow their disclosed retention periods. Account disconnection, subscription cancellation and data deletion are separate requests.

Where Regulation (EU) 2023/2854 (the EU Data Act) applies to your use of the Services, you may switch to another provider or to your own infrastructure, or have your data erased, on no more than two months’ notice. During a transition period of up to 30 days, extended where technically necessary as permitted by that regulation, we will continue to provide the Services, give reasonable assistance with the switch and make your exportable data and digital assets available in a structured, commonly used and machine-readable format, with a data retrieval period of at least 30 days. From 12 January 2027 we will not charge switching or data egress fees. Assets protected by Qorden’s or third parties’ intellectual property rights or trade secrets, such as our avatar model and software, are not exportable data. Fees and early termination charges stated in your Order Form apply to the extent permitted by that regulation.

Commercial terms and service changes

19. Fees renewals and cancellation

Your checkout or Order Form specifies the plan, currency, price, taxes, billing interval, usage allowances, any credit expiry and disclosed overage rates. Fees are payable as shown before purchase. No undisclosed overage is authorised by these Terms. We may restrict further usage or ask you to upgrade when you reach a limit. Trial access does not automatically become paid access unless that conversion and charge were clearly disclosed and accepted in advance.

Self-serve plans are billed monthly in advance in the currency shown at checkout. By subscribing, you authorise Qorden and its payment service provider to charge your chosen payment method the subscription fee at the start of each billing period, together with applicable taxes and any extra usage, until you cancel. Prices shown on the Website exclude VAT and other applicable taxes unless stated otherwise. Keep your payment details current. If a payment fails, we will notify you and may retry the charge, and access may be suspended as described in this section if payment is not made after notice.

Plan allowances, including minutes, avatars, concurrent conversations and knowledge base storage, apply per billing period and reset at the start of each period. Unused allowances do not carry over to the next period. Where your plan includes extra minutes, usage beyond the included minutes is charged at the per-minute rate shown for your plan at the time of use and billed with your next periodic charge or invoice. Where available, you can set a usage limit in your account to stop or alert you to extra usage.

You may upgrade at any time. An upgrade takes effect immediately and you will be charged a pro rata amount for the rest of the current billing period. A downgrade takes effect at the start of the next billing period, and you are responsible for reducing usage, avatars or stored content to fit the lower plan’s limits. After notice, content that exceeds those limits may become unavailable.

Unless the accepted checkout or Order Form states otherwise, subscriptions renew automatically for equal successive periods. Monthly subscriptions may be cancelled at any time before the next renewal date. Annual or longer subscriptions renew unless cancelled at least 15 days before renewal, and Qorden will send a renewal reminder at least 30 days before each such renewal. Your checkout, account settings or Order Form identify the renewal date and any cancellation deadline. Cancel through available account controls or by writing to support@avarole.com. Cancellation takes effect at the end of the paid period. A request received after the disclosed deadline may apply to the following renewal, subject to mandatory law. Any price increase applies only to a future renewal after at least 30 days’ notice and an opportunity to cancel before the increased charge.

Except where mandatory law, app store rules or a written agreement require otherwise, paid fees are non-refundable and unused allowances are not redeemable for cash. Nothing in this clause removes statutory withdrawal, refund or service remedy rights. Overdue undisputed payments may lead to suspension after notice and a reasonable opportunity to resolve the issue. App store purchases are also subject to the store’s applicable purchase, cancellation and refund rules.

If you are a consumer with a statutory right to withdraw from a contract for digital services, such as in the European Union or the United Kingdom, you may withdraw within 14 days after purchase by notifying support@avarole.com or using the withdrawal option in your account. If you ask us to begin the Services during that period, you will pay a proportionate amount for the Services provided before you withdraw, and you will be asked to confirm this at checkout. Your statutory rights are otherwise unaffected.

20. Availability support and trials

Support channels, hours, uptime targets, service credits and recovery commitments apply only as expressly included in your plan or SLA. Features may depend on connectivity, device performance, third-party systems and model availability. We will give reasonable notice of planned disruption where practicable. Beta and trial features are provided for evaluation as available, may change or end, and should not be used as the sole system for critical operations. The trial offer identifies its expiry and applicable data deletion conditions.

The Free plan is a one-time trial of the Services for evaluation, limited to one Free plan per organisation. It ends when its included minutes are used, or earlier if we withdraw the Free plan on reasonable notice, and it does not convert to a paid plan unless you choose to subscribe. If a Free account has had no activity for 90 days, we may close it and delete its data after giving at least 14 days’ notice to the account email address, except data we are required by law to retain. We may refuse or close Free accounts created to obtain more than one trial.

21. Changes suspension and termination

We may improve or modify the Services. We will normally provide at least 30 days’ notice of material adverse changes or material amendments to these Terms, with shorter notice where required by law or urgent security needs. Changes do not retrospectively authorise new processing or charges. We will request renewed acceptance where appropriate and obtain separate consent where legally required. You may discontinue use or cancel in accordance with your contract and applicable law.

We may suspend or terminate access for material breach, fraud, unlawful use, non-payment or a serious security risk. Where practicable we will explain the reason and allow a reasonable opportunity to remedy it; urgent protective action may be immediate. Suspension will be proportionate and reviewed when the cause is resolved. Termination ends the service licence, subject to the retrieval arrangements in section 18. Accrued payments, confidentiality, data protection, intellectual property, liability and dispute provisions survive as applicable.

Legal protections and contact

22. Confidentiality and intellectual property

Each party must protect the other’s non-public confidential information using reasonable care and use it only to perform or exercise rights under this Agreement. Exceptions apply to information lawfully public, independently developed, already lawfully known or lawfully received without restriction. Required legal disclosure is permitted, with prior notice where lawful. Confidentiality continues for five years after termination, and for trade secrets while they remain protected. Personal data obligations continue as required by law. Qorden and its licensors retain the Services, models, software, documentation and trademarks. Use of either party’s logo or customer name in marketing requires prior written permission. Voluntary product feedback may be used without compensation, excluding confidential information and personal data.

23. Warranties and liability

Except for express contractual commitments and rights that cannot lawfully be excluded, the Services are provided as is and as available. We do not warrant uninterrupted availability, error-free AI output, fitness for a particular purpose or a particular business outcome. These exclusions do not remove our express duties or mandatory legal obligations.

To the extent permitted by law, Qorden is not liable for indirect, incidental, special, consequential or punitive loss. Qorden’s aggregate liability arising from this Agreement will not exceed the fees paid for the affected Services in the 12 months preceding the event giving rise to the claim. These limitations do not apply to fraud, fraudulent misrepresentation, gross negligence, wilful misconduct, death or personal injury caused by negligence, or liability that cannot lawfully be excluded or limited. For claims arising from a material breach of confidentiality, a material breach of data protection obligations resulting in a confirmed personal data breach, or infringement of your intellectual property rights by the Services as supplied, Qorden’s aggregate liability will instead not exceed three times the fees paid or payable for the affected Services in the 12 months preceding the event giving rise to the claim. This separate limit is in addition to, and not reduced by, the general limit above. Mandatory consumer rights remain unaffected.

24. Third party claims

For organisational customers, the customer will indemnify Qorden against third-party claims and reasonable costs to the extent caused by unlawful Customer Data, infringement of third-party rights, unauthorised recordings or likeness use, the customer’s material unlawful use of the Services, or use of the Services for a prohibited or unassessed high-risk AI purpose, or in breach of the transparency duties, under sections 6, 8 or 10. The indemnity does not cover losses caused by Qorden’s breach, negligence or misconduct. Qorden will indemnify the customer against third-party claims arising from infringement by the core Services as supplied, its material confidentiality breach, or a personal data breach caused by failure to maintain committed safeguards, subject to section 23. If the Services are, or in Qorden’s reasonable opinion are likely to be, the subject of an infringement claim, Qorden may at its option modify them to be non-infringing without material loss of functionality, obtain the right for you to continue using them, or end the affected Services and refund prepaid fees for the unused period. This sets out Qorden’s entire liability, and your sole remedy, for third-party intellectual property infringement claims. The affected party must give prompt notice, reasonable cooperation and control of defence to the indemnifying party; no settlement may admit fault or impose non-monetary obligations without consent. Personal consumer customers do not assume this organisational indemnity.

25. Governing law and general terms

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), Dubai, United Arab Emirates. After written notice of a dispute, the parties will seek good-faith resolution for 30 days. Subject to mandatory consumer rights and any separately signed dispute clause, the courts of the DIFC in Dubai, United Arab Emirates (DIFC Courts) have exclusive jurisdiction. Either party may seek urgent relief from a competent court. No arbitration agreement is created by these Terms. Unavoidable events beyond reasonable control may excuse delay to the extent affected, with notice and reasonable mitigation; they do not excuse failures caused by a party’s own negligence. Invalid provisions do not invalidate the remaining Terms. No delay in enforcement is a waiver. Assignment requires consent, except a business transfer that preserves customer rights. English controls subject to mandatory local law. Electronic acceptance and records may evidence agreement to the extent permitted by law.

We may give notices under these Terms by email to the address associated with your account, through in-product messages or, for changes that apply to all users, by publishing them on the Website. A notice takes effect when sent or published unless it states a later date. You must keep your account email address current. Legal notices to Qorden must be sent to legal@avarole.com, with a copy by post to the address below where your Order Form requires it.

If you download an Avarole app from the Apple App Store or Google Play, these Terms are between you and Qorden only, not the store operator, and Qorden alone is responsible for the app, its content, maintenance, support and any product or legal claims relating to it. If the app fails to conform to an applicable warranty, you may notify Apple, which may refund the purchase price of the app, and Apple has no other warranty obligation. You confirm that you are not located in a country subject to a US government embargo and are not on any US government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as they relate to an app obtained from the Apple App Store.
